Terms of Service
Beta draft. These terms apply to the private beta. They have not yet been reviewed by counsel and will be replaced before paid plans and general availability. Items in [BRACKETS] are still to be confirmed.
1. Agreement
These Terms of Service (“Terms”) are an agreement between you and [LEGAL ENTITY NAME], [REGISTERED ADDRESS] (“we”, “us”), for use of Competitor Move — the website at competitormove.com and the app at app.competitormove.com (the “Service”). If you use the Service on behalf of a company, you accept these Terms for that company and confirm you are authorised to do so. If you do not agree, do not use the Service.
2. The Service
Competitor Move monitors public pages of websites you choose — homepage, pricing page, sitemap, and changelog or release-notes pages — detects changes, and delivers reports and alerts by dashboard, email, Slack or webhook. Change detection and summaries are automated and partly AI-generated; they can be incomplete or wrong. Verify anything important before acting on it.
3. Beta
The Service is in beta. Access is by invitation and we may admit, limit or end access at our discretion. During the beta:
- The Service is provided “as is” and “as available”, without warranties of any kind.
- There is no service-level agreement: scans, reports and deliveries may be delayed, skipped or fail.
- Features, limits (such as the number of competitors per workspace) and these Terms may change or be removed at any time.
- There is currently no billing in the Service. We will give notice before introducing fees, and nothing will be charged without your agreement.
4. Accounts and workspaces
You must provide an accurate email address and keep access to it secure — anyone who can read that inbox can sign in. Workspace owners and admins control who is a member and are responsible for activity in their workspace. Tell us promptly at hello@competitormove.com if you suspect unauthorised access.
5. Acceptable use
You agree to:
- Only add websites whose publicly accessible pages you are entitled to view, and use the Service for lawful competitive research.
- Not use the Service to access, or attempt to access, anything behind a login, paywall or other access control, or to circumvent technical measures such as authentication, rate limits or bot protection.
- Not point the Service, or your webhook destinations, at private, internal or third-party systems you are not authorised to use.
- Not use the Service to harass anyone, collect personal data about individuals, or infringe intellectual-property or other rights.
- Not probe, overload or attack the Service (outside our responsible disclosure process), work around its limits, or resell or share access without our permission.
We may suspend or remove websites, channels or accounts that break these rules.
6. Your data
You keep all rights to the data you put into the Service (such as competitor lists, settings and feedback). You give us the permission needed to host, process and display it to provide and improve the Service, as described in our Privacy Policy. Information extracted from third-party websites remains subject to those sites’ rights; you are responsible for how you use it.
7. Slack and webhook destinations
If you connect Slack or a custom webhook, you are responsible for the destination: that you control it, that it is appropriately secured, that you verify signatures as described in the webhook docs, and for what happens to report data once delivered. Keep your webhook signing secret confidential and rotate it if it may have leaked. Deliveries are best-effort and are not guaranteed to arrive, arrive once, or arrive on time.
8. Our property
We own the Service, including its software, design and branding. These Terms do not transfer any of it to you. If you send us feedback or suggestions, we may use them without obligation to you.
9. Suspension and termination
You can stop using the Service at any time and delete your account in Settings. We may suspend or end your access at any time, including when the beta ends, if you breach these Terms, or if required to protect the Service or others; where reasonable we will give notice. On termination your right to use the Service ends and your data is handled as described in the Privacy Policy. Sections 6–8 and 10–13 survive termination.
10. Disclaimer
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that detected changes, prices or summaries are complete or correct.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim or [LIABILITY CAP, e.g. USD 100]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnity
You will indemnify us against claims by third parties arising from your breach of these Terms or your misuse of the Service, including the websites you choose to monitor and the destinations you send data to.
13. Governing law
These Terms are governed by the laws of [JURISDICTION], excluding its conflict-of-law rules. Disputes will be resolved in the courts of [VENUE], unless mandatory law where you live provides otherwise.
14. Changes to these Terms
We may update these Terms. We will change the date above and, for material changes, notify account holders by email. Continuing to use the Service after changes take effect means you accept them.
